This End-User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User," "you," or "your") and Mitaki Project ("Licensor," "Company," "we," "us," or "our") for the use of any software, applications, tools, or related documentation provided by Mitaki Project (collectively, the "Software").
By installing, copying, downloading, accessing, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

The Software and all copies thereof are proprietary to Mitaki Project and title to all intellectual property rights therein remains with Mitaki Project and/or its licensors. All rights in the Software not specifically granted in this EULA are reserved to Mitaki Project. The Software is protected by copyright laws, international treaty provisions, and other intellectual property laws and treaties.
You acknowledge that the Software contains trade secrets and other proprietary information of Mitaki Project and its licensors. You shall not disclose or provide access to such trade secrets or proprietary information to any third party.
The Software may collect certain data as described in our Privacy Policy. By using the Software, you consent to such data collection as described therein. We are committed to protecting your privacy and handling your data in accordance with applicable data protection laws.
Mitaki Project may, at its sole discretion, provide updates, patches, bug fixes, or other modifications to the Software ("Updates"). Such Updates may be provided automatically or may require manual installation. You agree that Mitaki Project has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality of the Software.
The Software may include or incorporate third-party software, libraries, or components ("Third-Party Components"). Such Third-Party Components may be subject to their own license terms. Nothing in this EULA limits your rights under, or grants you rights that supersede, the terms and conditions of any applicable license for Third-Party Components.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MITAKI PROJECT DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED, OR THAT THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU ASSUME THE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MITAKI PROJECT OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY:
IN NO EVENT SHALL THE TOTAL, AGGREGATE LIABILITY OF MITAKI PROJECT ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE SOFTWARE EXCEED THIRTY U.S. DOLLARS (USD $30.00). THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE LIABILITY IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT MITAKI PROJECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS AND EXCLUSIONS SET FORTH IN THIS SECTION SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
You agree to indemnify, defend, and hold harmless Mitaki Project and its officers, directors, employees, agents, and successors from and against all claims, demands, actions, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Software; (b) your violation of this EULA; or (c) your violation of any rights of another person or entity.
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you shall cease all use of the Software and destroy all copies, full or partial, of the Software in your possession or control.
Mitaki Project may terminate this EULA at any time, for any reason or no reason, by providing notice to you. The following sections shall survive termination of this EULA: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, and General Provisions.
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the U.S. Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations maintained by the U.S. Department of State. You represent and warrant that you are not located in any country that is subject to a U.S. Government embargo and that you are not listed on any U.S. Government list of prohibited or restricted parties.
This EULA shall be governed by and construed in accordance with the laws applicable to the jurisdiction in which Mitaki Project operates, without regard to its conflict of law principles. Any legal action or proceeding arising under this EULA will be brought exclusively in the courts of competent jurisdiction, and the parties hereby consent to personal jurisdiction and venue therein.
If any provision of this EULA is held to be illegal, invalid, or unenforceable under any present or future law, such provision shall be fully severable, and this EULA shall be construed and enforced as if such illegal, invalid, or unenforceable provision had never comprised a part of this EULA. The remaining provisions of this EULA shall remain in full force and effect.
This EULA, together with any applicable project agreements, constitutes the entire agreement between you and Mitaki Project with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral, regarding the Software.
Mitaki Project reserves the right to modify this EULA at any time. We will notify you of any changes by updating the "Last updated" date at the top of this EULA. Your continued use of the Software after such modifications will constitute your acknowledgment of the modified EULA and agreement to abide by its terms.
